General Terms of Use for All Users

Welcome! This web site (the “Site”) is owned and operated by Tutor Tech Group, Inc. (“TTG “, “we”, “us” or “our”). TTG makes this Site and the information, features and services available on this Site (collectively the “Services”) subject to acceptance of and compliance with the terms and conditions set forth in these terms of use (collectively, the “Terms of Use”) and elsewhere on this Site. The terms “you,” “your” “yours” and “yourself” refer to all visitors to this Site. The Terms of Use include and incorporate by reference: these General Terms of Use for All Users, the CLIENT terms of use, the TUTOR terms of use, our Privacy Policy, and any additional rules, terms and conditions that may apply to specific Services or sections of the Site.

1. You Agree to these Terms of Use; We may Change Them

Please review these Terms of Use very carefully. By using or visiting this Site (other than to read these Terms of Use for the first time), you agree to be bound by these Terms of Use and to use the Site in accordance with these Terms of Use. Accessing the Site, in any manner, constitutes use of the Site and your agreement to be bound by these Terms of Use (just as if you had signed an agreement with TTG and regardless of whether you have read them or not). If you do not agree with these Terms of Use, you have no right to use the Site or the Services, and you should leave the Site and discontinue your use of our Services immediately.

If you use this Site and the Services to arrange and pay for tutoring services to be provided to any third party minor (under 18), you agree that these Terms of Use, our Privacy Policy and any additional rules, terms and conditions shall also apply to that third party minor to the greatest extent permitted by law. You also warrant and represent that you are either a parent or guardian of the third party minor for whom you are arranging tutoring services, and that you are lawfully entitled and authorized to enter into these Terms of Use, Privacy Policy and additional rules, terms and conditions on behalf of such third party minor, including but not limited to with respect to assumption of risks, liability disclaimers, limitations of liability, waivers, and indemnities.

Certain Services or sections of the Site may be subject to additional posted rules, terms and conditions. Your use of such features and offerings is subject to those additional rules, terms and/or conditions, all of which are incorporated into these Terms of Use by reference. In the event of an inconsistency between these Terms of Use and any additional posted notices, terms and conditions, these Terms of Use shall control.

We reserve the right to change these Terms of Use or to impose new conditions on your use of the Site or the Services, from time to time, in which case we will post the revised Terms of Use on this Site and update the date listed at the very bottom of this web page and they will be effective immediately upon posting. By continuing to use the Site after we post any such changes, you accept the Terms of Use, as modified.

2. mySTEMtutor.com is Only a Venue; Be Cautious!

This Site is a communications platform for facilitating the connection between our clients (who typically are parents seeking tutoring services for their children) (“CLIENTS”), and bright capable individuals (who typically are hard-working students seeking to provide some tutoring services for a little extra cash) who have met our criteria (“TUTORS”). Our Site and Services promote CLIENTS and TUTORS finding each other, enabling interaction between CLIENTS and TUTORS such as arranging, scheduling and paying for one hour sessions during which a TUTOR tutors the CLIENT or a single other individual designated by CLIENT (each a “Tutoring Session”). While we take great pride in our TUTORS and are grateful for our CLIENTS, we do not guarantee or warrant and make no representations regarding the reliability, quality, suitability, danger or criminality of any user of our Site and Services, CLIENTS and TUTORS included. When interacting with an individual (be it a CLIENT or TUTOR), you should exercise caution and common sense to protect your personal safety and property, just as you would when interacting with other persons whom you don't know. By visiting the Site and using the Services, you agree to hold TTG free from the responsibility for any liability or damage that might arise directly or indirectly out of or in connection with your interactions on the Site and offline with any individual with whom you have interacted through the Site. TTG IS NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THIS SITE (INCLUDING ALL CLIENTS AND TUTORS), AND TTG WILL NOT BE LIABLE FOR ANY CLAIM, INJURY OR DAMAGE ARISING IN CONNECTION WITH YOUR USE OF THIS SITE OR THE SERVICES OR AS A RESULT OF YOUR INTERACTIONS WITH OTHER USERS OF THE SITE AND SERVICES.

3. Privacy Policy

Registration data, which includes detailed personal information, and other information collected about you are subject to our Privacy Policy, the terms of which are incorporated into these Terms of Use. You should review our Privacy Policy to understand how we collect and use data about you. By using this Site, you consent to our collection and use of this information as described in our Privacy Policy.

4. Eligibility

You may not use the Site if you are under eighteen (18) years of age. By using the Site and/or accessing the Services, you represent and warrant that you have the right, authority and capacity to enter into these Terms of Use and to abide by all of the terms and conditions set forth in these Terms of Use. This Site is administered in the United States and intended for U.S. users.

5. Use of Site/Services; General “Dos and Donts”

For CLIENTS

Subject to our rules, CLIENTS may use our Site and Services to: peruse our featured TUTORS and (we hope) find someone to their liking; register with TTG to as a CLIENT; schedule one or more Tutoring Sessions; arrange for payment; submit reviews of TUTORS; and process cancellations and substitute TUTORS.

For TUTORS

Subject to our rules, TUTORS may use the Site and Services to: become registered as TUTORS whom we feature on our Site; maintain their “good standing” to continue being so featured on the Site; publish biographical information touting their areas of knowledge, educational credentials and tutoring experience (in the hopes of attracting interested CLIENTS); indicate days and times when they can schedule and perform Tutoring Sessions; review a CLIENT’s tutoring progress report prior to a Tutoring Session (or that of another individual a CLIENT designates to receive the tutoring services); indicate the successful conclusion of a Tutoring Session; arrange for payment of fees due for successful Tutoring Sessions; and process cancellations.

General “Dos and Donts”

  • Every CLIENT and TUTOR is expected to regularly monitor and review the progress achieved by the individual being tutored; You will review the “best practices” and recommendations we provide for you (as either CLIENT or TUTOR as applicable) and give full consideration to following our recommendations;
  • If you have used our Site to find a TUTOR or a CLIENT and have now established a good working relationship with that individual, please do not cut TTG out of the loop and its rightful claim to past and ongoing compensation for having helped launch a productive relationship and handling the administration of the Tutoring Sessions. Indeed, TTG prohibits any use of this Site and Services that circumvents or subverts the fee-generating dealings described in these Terms of Use, and TTG reserves the right to take any legal or other action it deems necessary and appropriate in the event it becomes aware of any such behavior.
  • You will only use the Site and Services for your own use and for lawful purposes; and
  • You will not create user accounts under false or fraudulent pretenses.

6. Submission of Your Information; Posted Content

Registration, User ID and Security

In order to access or use certain features of the Site, you are required to register with us on registration pages which will require you to provide personally identifiable information (such as your name, age, address, and an e-mail address you own) and to select a password and user name, which shall consist of an email address you own and use (“User ID”). In the course of registering as a TUTOR, you will be asked for considerably more personally identifiable information that enables us to run a background check and evaluate your academic record, among other things. As a CLIENT, when you register or purchase a Session from a TUTOR on our Site, we will ask you to provide us with your name, phone number(s), home address or other address, and email, among other things, so that we may process your transaction for a Tutoring Session. We retain a reputable vendor to process your payments and that vendor will collect credit card payment information from you in order to process your payment(s) for tutoring services. TTG pays TUTORS via PayPal. You agree to provide true, accurate, current and complete information about yourself as prompted by the Site's registration and transaction/checkout web pages. Failure to do so is a breach of these Terms of Use, which may result in immediate termination of your account. You may not: (i) enter, select or use a user name or an email address owned or controlled by another person with the intent to impersonate that person, or (ii) use as a User ID a name subject to any rights of a person other than yourself without appropriate authorization. We reserve the right to refuse registration of, or cancel, a User ID in our discretion. You are responsible for maintaining the confidentiality of your password and are fully responsible for all activities that occur under your User ID and password. You agree to (a) notify TTG immediately of any unauthorized use of your User ID or password, and (b) ensure that you exit from your account at the end of each session. Our use of any personally identifiable information you provide to us as part of the registration process is governed by the terms of our Privacy Policy.

Posted Content

There are various areas on the Site where you may submit content via the Site’s interactive features for other Site users (“Posted Content”). For instance, each TUTOR featured on the Site authors a short biographical sketch of herself or himself and highlights educational credentials, current educational status, tutoring experience, and areas of academic strength (each a “TUTOR Bio”). Other Posted Content includes: CLIENT reviews of TUTORS and messages between CLIENTS and TUTORS.

The following rules apply to your submission of Posted Content:

  • You are solely responsible for any content that you submit for display on the Site or transmission to other Site users via the Services.
  • You agree that you will only provide Posted Content that you believe to be true and not misleading.
  • You may not post any content that falsely states or implies that such content is sponsored or endorsed by TTG.
  • You will not use or disclose the personally identifiable information of any other user of the Site or person you come into contact with as a result of your use of this Site and the Services for any purposes other than offering or purchasing tutoring services.
  • You may not post content on or via the Site that is patently offensive to other users or is discourteous, threatening, abusive, obscene or insulting to other Site users or any other person.

When a Session is scheduled with a TUTOR, you opt-in to receive text messages from TTG, and acknowledge that standard messaging charges from your mobile network service provider may apply, and you represent and warrant that the number provided is your own cell phone number.

7. Intellectual Property Rights

TTG’s Limited License to You

This Site, the Services and the content available on the Site are the property of TTG and/or its licensors, and are protected by copyright, trademark and other intellectual property laws. Subject to these Terms of Use, TTG grants you a non-exclusive non-transferable license to use the Site, Services and Posted Content displayed thereon solely for your use in offering and finding tutoring services and transacting for tutoring services, as either a TUTOR or CLIENT, with other users of this Site. You may not use the Site or the Services available on the Site in a manner that constitutes an infringement of our rights or that has not been authorized by TTG in these Terms of Use. TTG owns all improvements and derivative works of this Site and its Services, regardless of whether any such improvements arose directly or indirectly from any improvement or feature suggested by you or any other third party.

Your License grants to TTG

You grant TTG, and anyone authorized by TTG, a royalty-free, non-exclusive, worldwide license to use, display, copy, modify, publish and transmit personally-identifiable information which you voluntarily provide to TTG via the Site for: (i) the purpose of enabling users of the Site to offer and find tutoring services and transact for tutoring services, as either a TUTOR or CLIENT, with other users of this Site, and (ii) the additional purposes identified in the Privacy Policy.

In addition, you grant TTG, and anyone authorized by TTG, a royalty-free, non-exclusive, worldwide, perpetual, irrevocable license to use, display, copy, modify, transmit, index, categorize, create derivative works from your Posted Content, as modified by TTG in its sole discretion.

You acknowledge that the Site, the technology underlying the Services, and all other software, designs, materials, information, and other data or copyrightable materials, provided to you in connection with the Site or the Services (collectively, the “TTG Content”) are the proprietary works of TTG and/or its licensors and are protected, without limitation, pursuant to U.S. copyright laws. You may not copy, reproduce, publish, perform, distribute, disseminate, broadcast, circulate, modify, create derivative works of, rent, lease, sell, assign, sublicense, otherwise transfer, display, transmit, compile or collect in a database, or in any manner commercially exploit the Site, Services, TTG Content, in whole or in part. You will not, in any manner decompile, disassemble, reverse engineer, reverse assemble or otherwise attempt to discover any source code, software, or any other TTG Content of the Site or the Services. You may not store any significant portion of any TTG Content in any form. You may not "mirror" any TTG Content or the Services on any server. Any unauthorized or prohibited use of the Software, other TTG Content, the site or the Services may subject the offender to civil liability and criminal prosecution under applicable federal and state laws.

If a TUTOR, you acknowledge that a copy of all documents created by TUTOR or received from or at the direction of TUTOR in connection with her or his registration, the Tutor Bio, the processing of Tutoring Sessions, and the administration of Services performed hereunder (collectively, “Retained Documents”) shall be retained by TTG and may be used for marketing, administrative, litigation and archival purposes. For the sake of clarity, the Retained Documents referred to in this paragraph do not include materials belonging to and used by a TUTOR and solely associated with teaching and tutoring, including reference books, notes, tests, and homework.

8. Indemnification

By accessing the Site and using the Services, you agree to defend, indemnify and hold TTG, its affiliates, officers, directors, members, employees, attorneys and agents harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including reasonable attorneys' fees and costs) (collectively, “Losses”) arising out of or in connection with: (a) your violation or breach of any term of this Agreement or any applicable law or regulation, whether or not referenced herein; (b) your Posted Content; (c) your use or misuse of the Site or Services; and (d) your interactions and transactions with any other user of this Site, whether those occur online on our Site or elsewhere. If you are a CLIENT using this Site and the Services to arrange for a minor to receive tutoring services, you agree to defend, indemnify and hold TTG, its affiliates, officers, directors, members, employees, attorneys and agents harmless from and against any and all Losses arising out of or in connection with: (i) the interactions between that tutored minor and any other user of this Site, whether those occur online or elsewhere, (ii) any alleged or actual claims brought by such minor as a direct or indirect result of your use of the Site and Services, and (iii) any violation or breach by such minor of these Terms of Use.

9. Disclaimer of Warranties; Release

TTG MAKES NO REPRESENTATION, WARRANTY, OR GUARANTY AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE SITE OR THE SERVICES. TTG DOES NOT REPRESENT OR WARRANT THAT (A) THE USE OF THE SITE AND SERVICES WILL BE SECURE, TIMELY, UNINTERRUPTED OR ERROR-FREE, (B) THE SERVICES (INCLUDING ANY TUTORS, TUTORING SERVICES, OR CLIENTS) WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, (C) ANY STORED DATA WILL BE ACCURATE OR RELIABLE, AND (D) THE SERVICES OR THE SERVER(S) THAT MAKE THE SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE SITE, SERVICES AND POSTED CONTENT ARE PROVIDED TO YOU STRICTLY ON AN “AS IS” BASIS. ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS, ARE HEREBY DISCLAIMED BY TTG TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

UNDER NO CIRCUMSTANCES WILL TTG BE LIABLE IN ANY WAY WHATSOEVER FOR ANY POSTED CONTENT, INCLUDING ANY ERRORS OR OMISSIONS IN ANY SUCH POSTED CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF AND/OR RELIANCE UPON ANY SUCH POSTED CONTENT. YOU AGREE THAT YOU MUST EVALUATE AND BEAR ALL RISKS ASSOCIATED WITH THE USE OF ANY POSTED CONTENT, INCLUDING ANY RELIANCE ON THE INTEGRITY AND ACCURACY OF SUCH POSTED CONTENT. WE DO NOT WARRANT THAT OUR SITE CONTENT OR ANY POSTED CONTENT, WHETHER DURING TRANSMISSION VIA THE INTERNET OR WHILE STORED ON OUR SERVERS, WILL BE ABSOLUTELY SAFE FROM INTRUSION BY OTHERS, SUCH AS HACKERS.

TTG MAY INTRODUCE YOU TO THIRD PARTY CLIENTS OR TUTORS, AS APPLICABLE, FOR THE PURPOSES OF SCHEDULING AND PERFORMING TUTORING SESSIONS. EXCEPT FOR THE LIMITED CHECKS WE RUN ON OUR TUTORS, WE DO NOT ASSESS THE SUITABILITY, QUALITY, LEGALITY, ABILITY OR CRIMINALITY OF ANY TUTOR OR ANY CLIENT OR ANY OTHER USER OF OUR SITE, AND YOU EXPRESSLY WAIVE AND RELEASE TTG FROM ANY LIABILITY, CLAIMS OR DAMAGES ARISING FROM OR IN ANY WAY RELATED TO ANY THIRD PARTY INTRODUCED TO YOU, DIRECTLY OR INDIRECTLY, BY THE SITE OR THROUGH THE SERVICES. (REVIEW THE LIMITED CHECKS WE RUN ON TUTORS IN THE TUTOR TERMS AND CONDITIONS.)

TTG WILL NOT BE A PARTY TO DISPUTES, NEGOTIATIONS OF DISPUTES BETWEEN YOU AND OTHER SITE USERS (INCLUDING PARTICULARLY BETWEEN TUTORS AND CLIENTS). RESPONSIBILITY FOR THE DECISIONS YOU MAKE REGARDING SERVICES OFFERED VIA THE SITE (WITH ALL THEIR IMPLICATIONS) RESTS SOLELY WITH YOU.

YOU ACKNOWLEDGE AND AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SITE AND OUR SERVICES AND ANY SERVICES YOU RECEIVE FROM THIRD PARTIES IDENTIFIED IN THESE TERMS OF USE REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Limitation of Liability

IN NO EVENT SHALL TTG'S AGGREGATE LIABILITY EXCEED THE AMOUNTS ACTUALLY PAID BY YOU (IF A CLIENT) OR TO YOU (IF A TUTOR) IN THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM. IN NO EVENT SHALL TTG BE LIABLE TO ANYONE FOR ANY INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES OF ANY TYPE OR KIND (INCLUDING PERSONAL INJURY, LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE). TTG SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE OR INJURY WHICH MAY BE INCURRED BY YOU, INCLUDING BUT NOT LIMITED TO LOSS, DAMAGE OR INJURY ARISING OUT OF, OR IN ANY WAY CONNECTED WITH THE SITE, SERVICES, POSTED CONTENT, INCLUDING BUT NOT LIMITED TO, THE USE OR INABILITY TO USE THE SITE OR SERVICES, ANY RELIANCE PLACED BY YOU ON THE COMPLETENESS AND ACCURACY OF A TUTOR BIO, OR AS A RESULT OF ANY INTERACTION, TRANSACTION OR DEALINGS BETWEEN YOU AND ANY THIRD PARTY (INCLUDING ANY CLIENT, TUTOR, OR OTHER USER OF THE SITE).

BY USING THE SITE AND THE SERVICES, YOU AGREE THAT THE EXCLUSIONS AND LIMITATIONS OF LIABILITY SET OUT ABOVE AND ELSEWHERE IN THIS AGREEMENT ARE REASONABLE. IF YOU DO NOT THINK THEY ARE REASONABLE, YOU MUST NOT USE THE SERVICES AND MUST LEAVE THIS SITE.

11. Termination

These Terms of Use will remain in full force and effect while you use the Site and avail yourself to the Services. We may cancel or terminate your right to use the Site or any part of the Site at any time without notice. In the event of any such cancellation or termination, you shall no longer be authorized to access all of the Site.

You may terminate your relationship with us anytime. After becoming a TUTOR or CLIENT, you may terminate anytime by sending a notice of termination to [email protected]. As soon as reasonably practicable, TTG shall cease featuring the Tutor Bio of a terminating TUTOR on the Site; provided, TTG may retain and use materials delivered by TUTOR for marketing, administrative, litigation and archival purposes. The indemnities, disclaimers, and limitations of liabilities set forth in these Terms of Use, shall survive any termination of your right to use the Site.

12. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHTS IN THE EVENT OF ANY DISPUTE BETWEEN YOU AND TTG.

By using this Site and the Services, you agree that the laws of the State of California excluding that state’s choice-of-law principles will govern these Terms of Use, the breach thereof, and any dispute of any sort that might arise between you and TTG, whether sounding in contract, tort or otherwise.

YOU ALSO AGREE THAT BY VISITING AND USING THIS SITE, YOU ARE BOUND TO THESE DISPUTE RESOLUTION TERMS AND YOU AND TTG ARE BOTH WAIVING THE RIGHT TO TRIAL BY JURY. YOU AND TTG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION; CLASS ACTIONS ARE NOT PERMITTED.

Any and all disputes between you and TTG, whether arising under or related in any way to these Terms of Use, your use of this Site and Services, or otherwise, must be resolved through binding arbitration as described in this Section 12. To begin an arbitration proceeding against TTG, you must send a letter requesting arbitration and describing your claim to our legal department: Tutor Tech Group, Inc., Attn: Legal Department, PO Box 1334, La Canada Flintridge, CA 91012. Any arbitration proceeding shall be administered by Judicial Arbitration and Mediation Services, Inc. (“JAMS”) in accordance with its streamlined arbitration rules and procedures, including the optional arbitration appeal procedure (collectively, the “JAMS Rules”). A copy of the current versions of these JAMS Rules can be viewed at http://www.jamsadr.com/rules-streamlined-arbitration and http://www.jamsadr.com/rules-optional-appeal-procedure. The JAMS Rules shall govern the selection of a single, neutral, commercial arbitrator, except that such arbitrator must have substantial experience in commercial contract disputes and either be licensed to practice law in California or be a retired judge, either of whom shall be selected from the appropriate list of JAMS arbitrators. Any appellate panel shall consist of three (3) neutral arbitrators, who shall each be subject to the foregoing requirements. The arbitrator's decision shall be controlled by and be based upon these Terms of Use. Upon conclusion of any arbitration proceedings, the arbitrator shall render findings of fact and conclusions of law and a written opinion setting forth the basis and reasons for any decision he or she has reached and shall deliver such documents to each party to the arbitration along with a signed copy of the award. The arbitrator’s ruling is binding and may be entered as a judgment in any court having jurisdiction over the subject matter thereof or application may be made to such court solely for judicial acceptance of any award and an order of enforcement, as the case may be. All arbitration proceedings, including documents filed in the course of such proceedings, and the fact that the arbitration is being conducted, shall be and remain confidential.

For any claim where the total amount of the award sought is $10,000 or less, JAMS, you and TTG must abide by the following rules: (a) the arbitration shall be conducted solely based on written submissions; and (b) the arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise mutually agreed by the parties. If the claim exceeds $10,000, the right to a hearing will be determined by the JAMS Rules, and the hearing (if any) must take place in your choice of the following locations: Los Angeles, CA or New York, NY. Payment of all filing, administration and arbitrator fees will be governed by the JAMS Rules. TTG will reimburse those fees for claims totaling less than $10,000 unless the arbitrator determines your claims are frivolous. For claims totaling more than $10,000, TTG will not seek attorneys' fees and costs in arbitration unless the arbitrator determines the claims are frivolous.

If for any reason a claim proceeds in court rather than in arbitration, you and TTG both waive any right to a jury trial. In the event any of the terms of this Section 12 are held to be unenforceable by a court, then the disputes or claims that would otherwise have been arbitrated shall be exclusively brought in the state courts of the State of California, City of Los Angeles, or the U. S. Federal Court located in the Central District of California, and you and TTG both waive any claim of forum non-conveniens. You and TTG also agree that you or TTG may bring suit in court to enjoin infringement or other misuse of intellectual property rights, provided that such suit and claims may be brought only in the courts identified in the prior sentence.
